We also act for nearly all major employee share ownership option plans established in Ireland to date. This includes schemes with key stakes in major private and public companies, semi-state entities and state utilities.
Our lawyers are experienced in all aspect of employee benefits and executive compensation. Our recent experience includes advising:
- a waste management company on the establishment and implementation of a management incentive plan (MIP), which involved working closely with tax advisers to establish the optimal structure, drafting the relevant documentation including incorporating a nominee company to hold the shares which would be beneficially owned by certain employees of the Group. The purpose of the management incentive plan was to give certain employees an opportunity to participate in the share capital of the Group as an incentive to make extraordinary efforts to promote the success of the Group and so increase the value of its share capital
- an e-commerce services company on the establishment and implementation of a share option scheme to grant certain employees share options which were subject to specified conditions and exercisable upon the occurrence of certain realisation events

- a plumbing supplies manufacturer on the establishment of their long term incentive plan (LTIP)
- a multinational IT services and consulting company on tax incentivised employee share and share/stock option schemes
