Yrityskauppoihin erikoistunut tiimimme neuvoo kaikissa yritysjärjestelyihin liittyvissä kysymyksissä suurista kansainvälisistä rajat ylittävistä järjestelyistä pieniin yksityisten osakeyhtiöiden yritysjärjestelyihin sekä vaativista huutokauppamenettelyistä PK-yritysten sukupolvenvaihdoksiin.

Yritysjärjestelyissä tarvitaan kokenutta ja alan tuntevaa tiimiä. 

Olemme tehneet tuhansia transaktioita sekä ostajan että myyjän puolella. Yritysjärjestelyjen rakenteen suunnittelu, due diligence -tarkastukset, asiakirjojen laadinta ja yrityskauppaneuvotteluihin osallistuminen ovat meille arkipäivää. 

Kokoamme joka kerta asiakkaan kaupan tarpeita vastaavan tiimin, jonka jäsenillä on alakohtaista ja ajankohtaista tietoa. Vallitsevassa yritysilmastossa ja erityisesti rajat ylittävässä kaupankäynnissä on osattava varautua monenlaisiin ongelmiin, ja esimerkiksi yritysrakenteeseen, rahoitukseen, henkilöstöön, kiinteään omaisuuteen, veroihin ja immateriaalioikeuksiin liittyviä näkökulmia on mietittävä tarkkaan, kuten myös yhä säännellympiä osa-alueita, kuten ulkomaisia suoria sijoituksia, kaupankäyntiä, kilpailua ja tietosuojaa.   • an Ireland-based financial services and financial technology company and an employee benefit trust on a widely publicized sale of its group of companies to a leading Irish retail bank
  • a client on the sale of its entire shareholding in the capital of a US-headquartered global e-commerce technology company
  • an Austrian building materials supplier on its acquisition of the entire issued share capital of an Ireland-based manufacturer and UK-based manufacturer in a transaction value exceeding €300 million
  • a leading UK-based asset manager in relation to all Irish legal and tax obligations arising on the purchase of the entire share capital of an Irish-owned asset manager
  • a private equity firm in the acquisition of an Irish headquartered global aviation group
