Sarah is a Partner in the Financial Services Group and leads the financial services team in Edinburgh.
She advises on the formation of unauthorized funds and a range of regulatory matters, including AIFMD, MiFID II, PRIIPs, MAR, financial promotion, and ESG and sustainable investing. Sarah is ranked as an "Associate to Watch" in Chambers for closed-ended funds, and is described as "a real driving force who is very energetic and responsive."
Sarah specializes in investment funds and advises clients within the financial services sector, including asset managers, depositaries, custodians, institutional investors, funds (investing in various asset classes, including equity, debt, energy, infrastructure, real estate, forestry, as well as fund of funds) and fund administrators on fund launches, capital raisings, restructuring, relationships with service providers, investments and regulatory compliance.
She regularly advises on investment launches, mergers, reorganizations and liquidations, and equity security issues of investment trusts, investment companies, limited partnerships and unit trusts. Sarah regularly reviews, advises on and negotiates commercial contracts such as AIFM, portfolio management, investment advisory, depositary, custody, administration, introducer, co-investment, limited partnership, limited liability partnership and other asset management-related agreements.
Sarah is also experienced in advising institutional investors on their investments into infrastructure, private equity, and venture capital funds and other alternative investment funds, having reviewed and negotiated fund documentation for numerous funds established in the UK, Luxembourg, the US, Australia, the Cayman Islands, the Channel Islands and Ireland.
She regularly provides regulatory advice, focusing on AIFMD, MAR, MiFID II, PRIIPs, ESG and responsible investing, the Prospectus Regulation and application of the UK financial promotion regime to financial service clients.
In her spare time Sarah enjoys hiking, trying new restaurants and traveling.

- advising Gresham House Energy Storage Fund plc, the largest investor in battery storage in the UK, on its initial public offering of shares to trading on the Specialist Fund Segment of the London Stock Exchange plc in 2018, and on all subsequent capital raisings, and on an innovative private bond offering raising, in aggregate, over £500m
- advising VH Global Sustainable Energy Opportunities plc, a fund investing in global sustainable energy infrastructure assets that have a high-impact value and align with the UN's Sustainable Development Goals and support the Energy Transition, on its structuring and initial public offering of shares to listing on the premium segment of the Official List and to trading on the main market of the London Stock Exchange plc, raising £240m, and on its subsequent fundraise, raising a further £70 million under its placing program
- advising UK Mortgages Limited (UKML) on the unsolicited approaches made by M&G Investment Management Limited, as manager of M&G Specialty Finance Fund SCSp with a view to making a recommended cash offer for UKML, UKML's subsequent strategic review resulting in the implementation of a series of tender offers to return capital to its shareholders, and most recently on its proposed merger with TwentyFour Income Fund Limited (TFIF), intended to be effected by way of a scheme of reconstruction of UKML, consisting of the winding up of UKML, the transfer of UKML's assets to TFIF and the issue of new ordinary shares by TFIF to UKML's shareholders
- advising a private banking corporation on the distribution of its range of non-UK private funds in the UK that are marketed by its UK-authorized subsidiary and non-UK relationship managers
- advising a global custodian and nominee (and in some cases trustee) on investments it makes on behalf of its clients as a nominee in a range of private funds — advice includes providing a bespoke due diligence report, preparing instruction and indemnity letters, and producing a bespoke collaborate tool to log relevant fund, custody and trustee documentation, reports, and the instruction and indemnity letters, enabling easy access to documentation in a single place
