Eversheds Sutherland advises G4S on the reorganisation of its global cash businessesEversheds Sutherland has advised G4S plc, a world leading integrated security company, on the corporate reorganisation of its global cash businesses. This included the separation of the majority of its cash solutions businesses from its secure solutions group, and supporting G4S on the majority sale of its conventional cash handling businesses to The Brink’s Company, a global cash management business. G4S will receive net cash proceeds of approximately £670 million and assign around £60 million of net liabilities to Brink’s. The reorganisation involved intra-group share and business asset transfers across multiple jurisdictions. The Eversheds Sutherland team was led by Partner Richard Prowse, supported by Partner Jon Cox-Brown and Legal Director Nicola Evans. The deal represents an important milestone in the execution of G4S’s corporate strategy, enabling it to focus on the growth of its core integrated security solutions business and to develop further its industry leading payment and cash technology business. Richard Prowse, Partner at Eversheds Sutherland, commented: “This was a complex, highly technical deal that required careful and significant cross-jurisdictional collaboration and cross-practice knowledge and experience to ensure this successful outcome. It demonstrates the capabilities of our global network to implement and support reorganisations of this scale and complexity. We are thrilled to have, once again, supported G4S and look forward to continuing our work with them.” Soren Lundsberg-Nielsen, Group General Counsel, G4S plc, commented: “Eversheds Sutherland has continued to impress us with its high level of legal technical know-how, its comprehensive understanding of our business and its changing needs, and its consistent execution of client service excellence. The global legal practice has become a trusted advisor and we look forward to continuing our work with the team.” Key contacts
