Corporate Transaction
- Acting on cross-border mergers and acquisitions, joint ventures, and corporate restructurings across the Middle East
- Leading due diligence processes and drafting, reviewing, and negotiating share purchase agreements, shareholders’ agreements, joint venture arrangements, and corporate governance documents.
- Advising on corporate governance matters including board composition, directors’ duties, and compliance requirements.
- Acting for sellers in the sale of a leading fintech company in Iraq, involving an English-law governed SPA, a receivables set-off settlement mechanism, and Iraqi regulatory approvals including the Central Bank of Iraq.
- Advising March SPV Ltd and Mr. Mohammed Charchafchi on the sale of a 51% share interest in Iraq Electronic Gate for Financial Services (SWITCH) and Digital Future Company (DFC), both fintech companies, to the National Bank of Iraq, a subsidiary of Capital Bank of Jordan. The deal involved the simultaneous sale of two target companies with a two-step completion structure (initial completion, interim payments, and final completion).
- Advising EDITA, a regional food manufacturing player, on its acquisition of a 50% stake in Tuama Jebur Abbas and its establishment of a UAE–Iraq joint venture, including ADGM HoldCo incorporation, full legal due diligence, and drafting all transaction documents and ancillary agreements.
- Advising the sellers on the 100% sale of Little Thinking Minds, a regional edtech company, to US-based SeeSaw Inc., managing the full sell-side process across multiple jurisdictions and leading the negotiation of transaction documents, including the first use of W&I insurance covering Jordan.
- Advising a Jordan-based drip irrigation manufacturer on the sale of its assets to a US industry leader, including drafting and negotiating the asset purchase agreement and coordinating cross-border closing with US and Mexico counsel.
- Advising IFC and SPE Capital on their full exit from Al Quds for Education (Luminus), a leading vocational and technical education institution, including the sale of their entire shareholdings to Afaq for Energy Co. PLC. The transaction involved the release of multiple security packages linked to a put option, an initial payment at share transfer, and a deferred consideration mechanism secured by callable promissory notes.
Project Finance & Energy
- Advising on renewable energy projects in Jordan with a collective capacity of 298 MW, including acting for the lenders on the Tafila Wind Farm and advising sponsors on the Shams Ma’an Solar PV Project and the Al-Rajef and Al-Shobak wind projects.
- Advising lenders to Attarat Power Company on the USD 2.1 billion financing of a 470MW oil shale-fired power plant and associated mining operations.
- Advising the Government of Jordan on sovereign Eurobond offerings totalling USD 3.75 billion, including analysis of project-finance-related structures and Islamic finance considerations.
- Structuring and advising on project finance arrangements in the energy sector.
Regulatory
- Leading the end-to-end legal and regulatory work for Jordan’s new Gas Law under a USAID-funded programme, including:
- Conducting a detailed legal gap analysis, preparing a benchmarking study against regional gas market frameworks, and drafting the full Gas Law.
- Working directly with the Minister of Energy and the Secretary General through multiple working sessions to refine policy choices, regulatory models, and legislative provisions
- Coordinating and leading stakeholder consultations with industry operators and market participants to validate findings, gather technical feedback, and ensure the drafted law aligned with market and regulatory needs
- Advising clients on regulatory compliance, licensing requirements, commercial contracting, and sector-specific regulatory frameworks.
