She advises in particular national and international financial institutions and companies with respect to international financing and capital market transactions as well as on all questions of securities law.
Mirjam has many years of experience in advising syndicated bank financings, bank/bond financings and acquisition financings. She also specialises in advising clients on the issuance of certificates of indebtedness and bonds (including corporate bonds, high yield bonds and EMTN programmes) as well as capital increases and IPOs. Her service offering also comprises advice regarding all aspects of securities law, including complex regulatory questions and new developments (e.g. crypto assets).
Before joining Eversheds Sutherland, Mirjam worked as a Counsel in the finance department of King &Wood Mallesons and in the corporate department of Latham & Watkins in Frankfurt.
Mirjam's recent experience includes:
- STOCKMEIER Group in a syndicated loan to fully refinance the existing syndicated loan and to finance the acquisition of a globally active group headquartered in the Netherlands and with production facilities in the Netherlands and the USA. The companies of the STOCKMEIER Group are active in distribution, production and services related to chemicals
- advising a FinTech company on the replacement of the security agent within the framework of an ongoing financing with international securities
- assisting a Chinese infrastructure and supply company regarding the issuance of certificates of indebtedness
- assisting a German investment stock corporation regarding a capital increase with subscription rights which required a prospectus
- assisting a German regional state bank regarding the issuance of a bond (USD 1 billion) to institutional investors in the US pursuant to Rule 144A which is traded on the Luxembourg Stock Exchange
