A member of Eversheds Sutherland’s Tax Practice Group, Charles counsels clients on mergers, acquisitions, joint ventures, and executive compensation agreements. He provides strategic tax guidance on stock and asset purchases, partnership formations, and LLC agreements, as well as research and experimentation (R&E) credits, state and local tax issues, and nonprofit tax obligations.
Charles has deep experience advising on public company acquisitions, distressed business restructurings, international reorganizations, and financial derivative consortia. He regularly assists tax-exempt organizations with unrelated business income tax (UBIT), exemption structuring, royalty and investment issues, and has served as an expert witness in cases involving international tax, partnerships, and nonprofit law.
He currently serves as General Counsel for a Section 501(c)(6) trade association, bringing practical insight to nonprofit governance and compliance.
