Ryan Sumner is an Associate in the Capital Markets & Investments Practice Group at Eversheds Sutherland, advising on regulatory compliance and corporate governance for business development companies (BDCs).
Ryan assists clients with regulatory filings with the US Securities and Exchange Commission (SEC), and helps provide guidance on compliance with, and exemptions from, the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Company Act of 1940. He also contributes to advising on corporate finance matters, including fund formation, raising capital through equity and debt securities, and corporate governance.
Ryan has experience with securities offerings, regulatory compliance, and general corporate matters. Prior to joining Eversheds Sutherland, he worked as a law clerk at a private practice firm, advising clients on business and tax strategies, drafting regulatory reports, managing compliance documentation, and preparing various legal instruments. During law school, Ryan was an Article Editor of the American University Washington College of Law’s Administrative Law Review and served as Chief Supreme Court Justice of the Student Bar Association.
