Throughout his career, Pietro Massimo has gained extensive experience in various practice areas:
- Insurance law and regulation: Advising on all insurance lines of business, including life and non-life insurance, with a particular focus on: (i) investment-based life insurance products (unit-linked and index-linked policies) and capital redemption operations; (ii) segregated insurance management and internal insurance funds, (iii) all types of investments, of both securities and real estate types, carried out by insurers - using either disposable assets or immobilized assets to cover technical provisions; (iv) insurance distribution and bank-insurance agreements; (v) private banking and private insurance; (vi) insurtech.
- Collective asset management: Supporting Italian asset management companies (SGR) and European management companies in all matters related to collective investment, of both securities and real estate types. Activities include fund formation of real estate and private equity vehicles, as well as support for institutional investors (including certain banking foundations) with investment structures, even foreign ones. In recent years, he has secured some of the very first regulatory authorizations from Banca d’Italiafor Italian real estate SICAFs (investment companies with fixed capital) externally managed and reserved for professional investors.
- Cross-border extraordinary transactions: Legal and regulatory assistance in extraordinary transactions involving banks, insurance companies and other financial institutions. In particular, in the wake of the 2007-2009 global financial crisis, he coordinated due diligence activities and advised, limited to Italian law aspects, in the multi-billion-dollar acquisition of all non-U.S. companies and operations of an international financial conglomerate by a leading American life insurance company, obtaining by ISVAP the supervisory authorisation to the acquisition of control over all companies belonging to the Italian insurance group included in the aforementioned international financial conglomerate, from the US insurance holding.
- Banking law/ NPLs/ crowdfunding and innovative contractual structures: He has dealt with the sale of non-performing loans (NPLs) or UTPs on both a single-name and “en-bloc” basis, including through fiduciary companies, and managed complex regulatory filings (e.g., obtaining authorization by CONSOB pursuant to the EU Regulation 1503/2020 for the first lending crowdfunding platform in Europe exclusively specializing in NPLs).
He has built his career at prestigious Italian and international law firms, combining his professional practice with over a decade as a teaching assistant and subject matter expert (“cultore della materia”) of Economic and Financial Markets Law at the Università Cattolica del Sacro Cuore in Milan.
