We Advised Meriaura Group Oyj on a Share Exchange Agreement

We acted as advisors to Meriaura Group Oyj in a conditional share exchange agreement, under which the company will acquire the entire share capital of Summa Defence Oy. Summa Defence Oy is a company focused on consolidating businesses in the defense and security sector. The value of Summa Defence's share capital is defined in the share exchange agreement as approximately EUR 185 million and the value of Meriaura Group's share capital as approximately EUR 40.4 million.
As a result of this transaction, a corporate group specializing in security and national resilience will be established in Finland, with dual-use technology playing a key role. At the same time, the Merilogistics business (Meriaura Oy and its wholly owned subsidiary VG-EcoFuel Oy) will be transferred to Meriaura Invest Oy. Following the completion of the transaction, the newly listed company will be named Summa Defence Oyj.
