Richard advises on the full range of employee share schemes and incentives matters, both in the context of corporate transactions and on an advisory basis. He has acted for clients of all sizes, from start-ups through to late-stage growth companies and listed companies.
He has significant experience advising listed, private and private equity backed companies on the design, implementation and operation of management and all-employee incentive arrangements. His work incorporates the roll-out of cash and share-based plans across multiple jurisdictions ensuring their legal, tax and regulatory compliance.
Richard advises on the employee incentive aspects of corporate transactions, including public takeovers, demergers, IPOs, private company M&A, restructurings and private-equity investments.
Richard also advises on the corporate governance and regulatory requirements of executive remuneration including the drafting of directors’ remuneration policies, as well as the incentive aspects of executive recruitments and terminations.
