Eversheds Sutherland Advises Independent Directors of Runway Growth Finance Corp. Through Its Investment Adviser’s Change of Control Transaction

On January 30, 2025, Runway announced the closing of the transaction, pursuant to which private investment funds advised by BC Partners Credit and Mount Logan Capital (pursuant to a minority investment) acquired Runway. Throughout the course of the transaction, Eversheds Sutherland provided counsel to the independent directors of the board of Runway Growth Finance on various legal issues related to the adviser change of control, including compliance with the requirements of Section 15(f) of the Investment Company Act of 1940. Following the closing of the transaction, Runway will continue to serve as the investment adviser to Runway Growth Finance and private investment funds.

Runway Growth Capital LLC is the investment adviser to investment funds, including Runway Growth Finance and other private funds, which are lenders of growth capital to companies seeking an alternative to raising equity. Led by industry veteran David Spreng, these funds provide senior term loans of a target of $30 million to $150 million to fast-growing companies based in the United States and Canada.
