David is a partner in the Finance Practice Group and Co-Head of the US Restructuring and Insolvency team.
David represents bank and non-bank lenders in structuring, negotiating and documenting multi-faceted secured and unsecured loan transactions across industries. His experience extends to traditional corporate financing/refinancing, acquisition financing, intercreditor and inter-lender agreements and restructurings.
David’s practice also includes representing a broad range of clients in complex bankruptcy cases, out-of-court workouts, debt restructurings, asset dispositions and claims reconciliation procedures. He represents purchasers, sellers and other parties in bankruptcy Section 363 sales, debtors in possession, secured and unsecured creditors and creditor’s committees.
In addition to being recognized by several leading legal service rankings, David was inducted as a fellow in the American College of Bankruptcy in 2022.
Prior to joining Eversheds Sutherland, David was a partner in the financial restructuring and reorganization group of a major US law firm. Prior to this role, he served as law clerk to the Honorable Mary F. Walrath at the United States Bankruptcy Court for the District of Delaware.
Represented southeast-based financial institution as administrative agent in connection with various credit facilities, including $300 million credit facility secured by complex real estate-backed debt securities, and $75 million credit facility to private equity sponsored borrower.
Representing a media technology company with respect to purchase of intellectual property and related assets pursuant to Section 363 of the Bankruptcy code.
Represents master and special services in connection with CMBS loan workouts, restructurings and remedy enforcement.
Represents a public research university with respect to a workout involving private public partnership loan involving its student housing facilitates.
Represented a well-known American insurance company with respect to a workout involving $135 million senior secured loan by a 1,100 room convention center hotel located in Washington DC.
Advised financial institution in connection with secured loan collateralized by royalties associated with well-known music catalogue.
Represented US-based financial institution in workout of $250 million loan to international consumer products company.
Represented southeast-based financial institution as co-lead arranger and lender, in connection with $450 million senior secured syndicated credit facility for a broadcast entertainment company.
Represented a pharmaceutical company in its sale of assets pursuant to Section 363 of the Bankruptcy Code.
Represented a national consumer products company in the acquisition of distressed assets.
Represented a purchaser in the cross-board acquisition of manufacturing facilities pursuant to Section 363 and Chapter 15 of the Bankruptcy Code.
Served as counsel to a home healthcare operator in its acquisition of substantially all the assets of a debtor in bankruptcy.
Represented a Georgia-based financial institution in its acquisition of assets from a bank spun off from a national retail operation.
Advised national banks, regional banks and other parties in commercial transactions and bankruptcy implications.
Represented agents, trustees, collateral and special servicers in secured and unsecured real estate transactions.
Counsel to national and regional banks in secured and unsecured real estate transactions.
