- on the establishment of a subsidiary FinTech clearing bank, the first of its kind in Ireland. We also advised on requirements under a variety of legislation including: CRD IV capital requirements; Cloud Computing – Microsoft Azure and AWS; EBA and CBI outsourcing requirements and authorization processes; preparation of CBI submission for authorization as a bank/credit institution; assessing the cross-jurisdictional impacts of PSD2; MIFID II analysis of cross-border services within Europe; and Brexit analysis
- a platform provider based in Germany on the establishment of a new white-label debt repackaging program utilizing DLT in respect of an Irish s.110 umbrella securitization vehicle, which involved complex tax and legal and regulatory analysis.
- an Irish consultancy firm on all matters relating to the establishment of a new cyber security platform for mobile devices, including the licensing of cyber-security software
- a number of global broker and crypto exchanges on the establishment Irish domiciled crypto and securities exchanges, including the Irish authorization requirements, Our advice covered specific regulatory advice related to MiFID II, EBA outsourcing guidelines, PSD II, electronic money requirements, governance, client assets, VASP and liaising with policy, authorizations and the innovation hub at the Central Bank of Ireland
- an Irish domiciled crowdfunding entity that utilizes distributed ledger technology (DLT) and the acceptance of payments in crypto currencies
- as the sole legal advisor to a joint venture payments company between Ireland’s four pillar banks, whose purpose is to develop an interbank mobile payments solution for the Irish market. We are advising on all aspects of the development and launch of the mobile payments solution
