Eversheds Sutherland has advised the shareholders of Ori Industries – including the founder and a diverse group of growth investors (led by Mahdi Yahya and Episode 1 Ventures) - on its merger with Brookfield-backed Radiant. Radiant is the newly created AI infrastructure investment platform of Brookfield, a leading global alternative asset manager, with over $1 trillion of assets under management across infrastructure, renewable power and transition, private equity, real estate, and credit. Founded in the UK in 2018, Ori is a “neocloud” AI cloud operator, serving global technology leaders across the AI ecosystem. The deal was structured as an all‑equity combination with Brookfield and Ori’s shareholders. In November 2025, Brookfield launched a dedicated AI Infrastructure Fund with an ambition to deploy as much as US$100bn in the AI infrastructure space, providing a powerful strategic home for Ori’s next phase of growth. The multi-disciplinary Eversheds Sutherland team was led by Private Capital Partner Alex McCarney and comprised a core team including: Partners Jon Gill, James Lindop, Chris Williamson, Richard Surtees and Mark Herlach, Principal Associate Catherine Jones, Senior Associates Amy Bagni, Nicholas Hilman and Associates Julia Gawecka, Ross Boddy, Talia Sahin and Brittany Dodds. Alex McCarney, Private Capital Partner, Eversheds Sutherland, said: “Mahdi and his team are genuinely impressive and it has been a privilege to work with a UK‑founded business in the AI Infrastructure space which is such an important sector and has a lot of attention from the Private Capital universe. Helping Ori and its shareholders navigate a deal of this complexity has been great to work on. The structure allows Ori’s investors to continue with an ambitious global platform that is set up to scale at pace with the backing of an elite infrastructure investor such as Brookfield. We were thrilled to support Mahdi and the shareholders throughout the process and look forward to supporting on future opportunities.” Mahdi Yahya said: “Alex and the Eversheds Sutherland team have been exceptional throughout this process. Their deep sector expertise and ability to distil layers of complexity made an enormous difference at every stage of the deal. What really stood out was their commercial acumen – they understood not just the legal mechanics, but the strategic direction we were trying to achieve. For a transaction of this scale and sophistication, having a team that brings both technical excellence and practical judgement is invaluable, and Alex delivered that in spades.” Ansprechpartner
